ROUTA TERMS OF USE

These Terms of Use ("Terms") govern access to and use of the Routa Enterprise website, mobile applications, and related digital platforms (collectively, the "Platform"), operated by Routa Enterprise ("Routa" "we," "our," or "us"). The term "you" refers to the customer visiting the Website and/or booking a reservation through us on this Website, or through our customer service agents.
Routa operates an online marketplace and digital platform that enables users to search, compare, and book third-party travel, transportation, hospitality, and related services offered by independent service providers.
The use of this website by you does not create an employer/employee relationship, a joint venture shareholder agreement, a memorandum of understanding or a partnership agreement.
By accessing, browsing, registering on, or using the Platform, including by clicking "I Agree", you confirm that you have read, understood, and agreed to be legally bound by these Terms. If you do not agree, you must not use the Platform. Routa may revise these Terms at any time. Continued use of the Platform constitutes acceptance of the revised Terms.
1.Definitions
1.1"User" means any individual or entity that accesses or uses the Platform, including travellers, customers, and service providers.
1.2"Service Provider" means independent third-party travel, transportation, accommodation, or related service providers listed on the Platform.
1.3"Booking" means a reservation, request, or purchase made through the Platform.
1.4"Content" includes text, images, data, reviews, listings, and other materials displayed on the Platform.
2.Eligibility and Account Registration
2.1To use the Platform, you confirm that you:
- Are at least 18 years old
- Have the legal capacity to enter into a binding agreement
- Will use the Platform only for legitimate bookings for yourself or for persons you are legally authorised to act for
- Will provide true, accurate, current, and complete information
2.2You are responsible for safeguarding your login credentials and all activities conducted under your account.
2.3Routa reserves the right, at its sole discretion, to deny, suspend, or terminate access to the Platform to any user at any time for violation of these Terms or applicable law.
3.Nature of the Platform and Disclaimer of Role
3.1Routa is not a travel agency, tour operator, airline, hotel, transport provider, or service provider.
3.2Routa does not own, manage, operate, or control the services listed on the Platform.
3.3All services are provided by independent third-party service providers.
3.4Any contract for services is formed directly between the user and the service provider.
3.5Routa's role is limited to:
- Providing a digital marketplace and comparison interface
- Facilitating booking workflows
- Facilitating payment processing and settlement
4.Bookings, Payments and Supplier Terms
4.1All bookings made through the Platform are subject to:
- The terms and conditions of the relevant service provider
- Availability, pricing rules, cancellation policies, and refund rules set by the service provider
4.2Certain service providers may require users to agree to additional waivers, disclaimers, or conditions before services are rendered. Routa is not responsible for such requirements.
4.3Routa is not responsible for:
- Refund decisions
- Changes or cancellations
- No-shows
- Service quality or delivery
5.Use of the Platform
5.1You agree to use the Platform only for lawful purposes and in accordance with these Terms.
6.Prohibited Activities
6.1You must not:
- Use the Platform for fraudulent, deceptive, or unlawful activities;
- Misrepresent your identity or authority;
- Interfere with the security, functionality, or integrity of the Platform;
- Upload malicious code, viruses, or harmful software;
- Circumvent payment systems or fees;
- Post false, obscene, defamatory, pornographic, racist, or illegal content
- Scrape, copy, or commercially exploit Platform content without authorization;
- Harass, threaten, or abuse other Users or Service Providers;
- Post false, misleading, or defamatory content.
6.2Routa reserves the right to suspend or terminate access for violations.
6.3Violation of supplier rules may result in:
- Loss of reservation fees
- Cancellation of bookings
- Denial of future access to services
7.Listings, Comparisons, and Information Accuracy
7.1Service listings, prices, availability, and descriptions are provided by Service Providers.
7.2While Routa uses reasonable efforts to maintain accurate information, we do not guarantee the completeness, accuracy, or reliability of any listing or comparison.
7.3Users are responsible for reviewing all booking details before confirming a transaction.
8.Bookings and Payments
8.1Routa facilitates payment processing and settlement between Users and Service Providers.
8.2Payments made through the Platform are subject to:
- Applicable transaction fees;
- Payment processor terms; and
- Verification and fraud-prevention checks.
8.3Routa does not guarantee confirmation, fulfillment, or quality of any booking.
8.4Refunds, cancellations, and modifications are governed by the Service Provider's policies, which Users must review prior to booking.
9.Service Provider Obligations
9.1Service Providers agree that they:
- Are legally authorized to offer listed services;
- Will comply with all applicable laws and industry regulations;
- Are solely responsible for service delivery, customer care, refunds, and complaints;
- Will provide truthful, accurate, and up-to-date information.
9.2Routa may suspend or delist Service Providers for non-compliance.
10.User Responsibilities
10.1Users agree to:
- Provide accurate personal and payment information;
- Comply with Service Provider rules and requirements;
- Arrive on time and meet eligibility or documentation requirements;
- Conduct themselves respectfully and lawfully.
10.2Failure to do so may result in loss of booking rights without refund.
11.Intellectual Property
11.1All Platform software, branding, trademarks, and content (excluding third-party listings) are owned by or licensed to Routa.
11.2Users are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes.
11.3Unauthorized reproduction or use is prohibited.
11.4No rights are granted except as expressly stated. Unauthorised use may result in civil or criminal liability.
12.Third Party Links
12.1The Platform may contain links to third-party websites. Routa:
- Does not control such sites
- Does not endorse their content
- Is not responsible for their availability or accuracy
13.Travel Risks and Force Majeure
13.1Travel involves inherent risks. Users are responsible for assessing risks, complying with advisories, and taking necessary precautions.
13.2Routa shall not be liable for:
- Acts of God
- Government actions
- Natural disasters
- Force majeure events
- Acts or omissions of service providers
14.Reviews and User Content
14.1Users may submit reviews or feedback, provided they are truthful and lawful.
14.2By submitting content, you grant Routa a royalty-free, worldwide license to use, display, and reproduce such content.
14.3Routa may remove content that violates these Terms or applicable law.
15.Privacy and Data Protection
15.1Routa processes personal data in accordance with its Privacy Policy and applicable data protection laws, including the Nigeria Data Protection Act (NDPA).
15.2By using the Platform, you consent to such data processing.
16.Disclaimers
16.1The Platform is provided on an "as is" and "as available" basis.
16.2Routa does not warrant uninterrupted, error-free, or secure operation.
16.3Routa makes no guarantees regarding service outcomes, quality, or suitability.
16.4Routa does not warrant accuracy of listings and availability of services.
17.Limitation of Liability
17.1To the fullest extent permitted by law, Routa shall not be liable for:
- indirect, incidental, special, or consequential damages;
- injury, loss, death, delay, or damage arising from third-party services
17.2Routa's total liability shall not exceed the fees (if any) paid to Routa in connection with the transaction giving rise to the claim.
18.Indemnification
18.1You agree to indemnify and hold harmless Routa from any claims, losses, damages, or expenses arising from:
- Your misuse of the Platform;
- Your breach of these Terms;
- Your dealings with a Service Provider.
19.Suspension and Termination
19.1Routa may suspend or terminate access:
- For breach of these Terms;
- To comply with legal obligations;
- To protect the Platform or Users.
19.2Termination does not affect accrued rights or obligations.
19.3All disclaimers, indemnities, and limitation of liability clauses shall survive termination.
20.Governing Law and Dispute Resolution
20.1These Terms are governed by the laws of the Federal Republic of Nigeria.
20.2Parties shall attempt amicable resolution before litigation.
20.3The courts of Nigeria shall have exclusive jurisdiction.
20.4Any claim must be brought within six (6) months of the event giving rise to the claim, where permitted by law.
21.Severability and Entire Agreement
21.1If any provision is held invalid, the remaining provisions shall remain enforceable.
21.2These Terms constitute the entire agreement between you and Routa.
22.Changes to These Terms
22.1Routa may update these Terms from time to time. Continued use after updates constitutes acceptance.
